Agreement on the general terms of use of the Heba platform services or applications

- Subject to the terms of this service, as amended periodically ("Service Terms"), everyone who is willing to contribute to projects covered by the activities of Heba Company, whereby the company provides through its website and address on the Internet (www.hebah4change.com) the platform (Hebah) that includes features and related new applications.

- Under this Agreement and as defined below, the Campaign Organizer, Beneficiary or Grantor is collectively referred to as the "User".

- The user, wherever he is in the world, once he uses the platform, is considered to have contracted with Heba SAL. Hebah through its head office located in Verdun, Itani Street, Itani Building, First Floor, Beirut, Lebanon.

- By using HEBAH services and applications, the user has voluntarily agreed that the disputes that may arise between the user and the company and or any other party related to this agreement will be resolved exclusively by adopting absolute arbitration in accordance with the mechanism and system approved by the arbitration center of of the Chamber of Commerce, Industry and Agriculture in Beirut, with the exception of what is referred to otherwise in the Disputes section below. The decisions issued are final, binding and not subject to appeal in any way. The user expressly acknowledges that he has read and understood all the terms of this Agreement. Note that, at our sole discretion, we always and exclusively reserve the right to modify elements of our Terms of Service on any occasion. When we modify the Terms of Service, we will post the revised version on this page as well as the date of such modification.

- Continuous use of the services, which occurs after making changes to the terms of services, means full acceptance of the new terms of service and its amendments. If the user does not agree or does not accept the new terms of service, he can stop using the service or related services.

In addition, when you use the relevant services that are secured by the HEBAH Platform, you will be subject to additional applicable policies including but not limited to, our (Heba Company) Privacy Policy, without prejudice to applicable data protection legal provisions in Lebanon when appropriate.

ACCESS AND USE OF THE SERVICES

Description of HEBAH Services: The relevant Services may be accessed through the HEBAH Platform to allow an individual, entity or organization (“Campaign Organizer”) to publish a fundraising campaign (“Campaign”) through this Platform, with the aim of accepting financial donations (“Donations”) from Donors ( “Donors”) and or to enable a permanent fundraiser, to accept periodic and or recurring donations (“Recurring Donations”) or one-time donations from donors for charitable or other similar or similar purposes.

Payment Processor: HEBAH uses or coordinates with partners or third parties to process third-party payments for the Campaign (“Payment Processor”).

- The user acknowledges and agrees that the HEBAH platform is not a processor of a payment system or systems and does not keep any funds, and the user acknowledges that the use of payment processing systems is essential to secure and implement the related services so that information is exchanged with payment processor systems for the purpose of facilitating the provision of services.

- Service Fees: Services are performed and implemented for a fee set at specific percentages of the value of the donations known as payment processor fees, platform fees and other service fees as detailed below.

Payment Processor Fees: Donations of all kinds are subject to payment processor fees through the HEBAH platform and applications, which are specified and applicable as follows:

For donations coming from international cards 0.4$ + 3.5% of each transaction.

For donations coming from lebanese local cards 0.4$ + 2% of each transaction.

The payment processor automatically deducts the payment processor fee from the value of each donation processed by the latter through the HEBAH platform and applications.

Platform Fee: The Platform usage fee is a flat fee currently set at 0% of the value of each donation, automatically deducted and automatically received when each donation is made.

- The services are administrative platforms: HEBAH services are represented by administrative platforms only, where, through these administrative platforms, the organization of the campaign is facilitated for the account of the campaign organizers and allowing donors to donate to the campaign organizers. HEBAH is therefore not a broker, agent, financial institution, creditor, or non-profit organization.

- All content and data published or permitted to be published on the HEBAH platform in connection with the Services are for informational purposes only, and therefore this platform does not guarantee the accuracy or completeness of these contents.

The HEBAH Platform does not provide any financial, legal, tax or other professional advice, and therefore the User should, before making any decisions or taking any initiatives regarding any campaigns, donations, recurring donations, donors or any information or content related to the Services, consult their financial advisor legal, tax or other professional advisors as appropriate and competent.

- The user acknowledges that all information and content that he can access using the services available through the HEBAH platform is at his own risk.

- HEBAH does not control the user's behavior or any of the information he provides or obtains through the platform, and is not responsible at all for declaring or circulating any false or incorrect data, nor is it responsible at all for any damage that may result from that of any kind and nature And the reason.

- The HEBAH platform or any of the applications approved through it do not guarantee that the campaign will receive a specific amount of donations or any donations at all. Further, HEBAH does not endorse any campaign, user or cause and makes no warranty, express or implied, that any information provided through the Services is accurate. The platform also expressly disclaims any liability or responsibility for the outcome or success of any campaign. The user, as a donor, must therefore make the final decision on the value and appropriateness of contributing to any user, campaign or event.

Providing services through or by adopting the HEBAH platform is intended to assist campaign organizers in raising funds, as this platform simply provides the technology needed to allow fundraisers to communicate with donors. The existence or provision of the Services therefore does not constitute a solicitation of donations on the part of HEBAH, and HEBAH does not engage in any solicitation or advisory activities regarding soliciting contributions from the public, on behalf of any individual, entity or organization.

By using or approving the Services, Customer (the Donor) understands and agrees that HEBAH will not be responsible for the use of its Donations or the amount of funds collected for the User, Campaign or Event.

Campaign(s): A campaign is a temporary fundraising campaign, launched by the campaign organizer that aims to collect or achieve a financial goal for a clear and specific cause or guarantees and within a certain period of time.

 The campaign must first be ordered through the HEBAH platform; The relevant team of the platform will review and audit the campaign request(s) within a reasonable time and provide the applicant with approval or rejection. If the campaign is approved by HEBAH, the campaign will be published on the platform and then the campaign organizer will be able to receive donations through this campaign and share the campaign on social media platforms.

If the campaign is rejected by HEBAH and has not been published on the platform, the user submitting the request is not entitled to claim any compensation at all.

- Campaign Organizer: The User, in his capacity as the Campaign Organizer, agrees and warrants that:

(i) all information it provides in connection with the Campaign or the Beneficiary is accurate and complete and is not likely to deceive reasonable or ordinary users;

(ii) the collection of funds is for a reason or activity that is lawful and lawful under applicable laws and regulations and is not inconsistent with and not in conflict with mandatory legal provisions, public morals and relevant moral and social principles;

(iii) that the use of all donations made to his campaign will be made for the purposes and objectives specified exclusively and as indicated in the information and content he posts or otherwise provides;

(iv) if Withdrawal of Donations which the Donors reasonably believe will be collected on behalf of someone other than him (i.e. the Beneficiary), all donations will be, by the Platform, made to and/or spent on the Beneficiary’s behalf;

 (5) if he adds a Beneficiary through the Services, he relinquishes control of the Donations;

(6) will not infringe the rights of others;

 (7) He shall comply with and comply fully with all relevant laws and regulations, and shall prepare and submit legally required financial reports and permits to the competent references in accordance with the rules.

 (8) The user is obligated to the extent that he participates through the platform, to provide the platform team with the personal data of any third party for any purpose, including the names, email addresses and phone numbers of his personal contacts, and to allow the team to use and disclose such personal data for the purposes for which he Participation has been made.. User HEBAH expressly authorizes HEBAH to provide information related to his campaign to his campaign donors, campaign beneficiaries or law enforcement, and to assist in any investigation thereof.

If the User is an agent or representative of an entity, body, corporation or organization that uses the Services to raise funds for that entity, the User agrees and warrants that:

 (a) it is a legal representative of the entity and is authorized by such representation to raise funds or bind the entity to the Terms of Service;

(b) raises funds for an entity that has a lawful and legitimate cause or activity under relevant laws, regulations, public order, morals and social ethics;

 (c) that all donated funds will be used only for the purpose indicated by him and in connection with his campaign, and under no circumstances may he use the funds for any other purpose;

 (d) The entity it represents will perform all of its financial or other obligations under relevant law and regulations.

User Registration Obligations: It is likely that the User is required to register on the HEBAH Platform in order to access and use certain features of its services. If he decides to register, he agrees to provide true, accurate, current and comprehensive information and/or documents about him as specified in his registration form and further agrees that he must update such information as necessary.

When registering for HEBAH platform services or opening an account, the user is obligated to register using his real identity and provide his name, phone number, e-mail address and any other information he chooses that would enhance his campaign profile (such as a profile picture).

The user is also allowed to access or log in to the services of the Platform through many other network services such as Facebook, Google and Apple accounts. If available.

Campaign Creation Requirements: Once registered, the User agrees to provide the following correct, accurate, up-to-date and comprehensive information and/or documents about him/her as required by the HEBAH Platform in order to create a Campaign, and also agrees that they must update such information as necessary. Note that the information collected, and the use of this information is detailed in the privacy policy of the HEBAH platform.

a. Campaign organizers who are raising funds for their individual cause or that of a beneficiary are obligated to create the campaign using their real identities and attach a copy of their identification documents (i.e. ID card, passport, etc.) The requested information including name, physical address, email address, phone number, beneficiary's name, occupation (if any), bank account information, as well as any other information such as a photo or video that expresses the campaign or its beneficiaries. The User agrees that he may be contacted by representatives of the Platform and asked to provide additional information / documents related to the campaign he is creating.

B. Campaign organizers who use the Services on behalf of an entity or entity, to raise funds for that entity or entity, are obligated to provide HEBAH with the registered or recognized name of the entity, and to attach it with legal documents evidencing this as a copy of the registration certificate of the entity, legal person or entity (commercial broadcast the company; knowledge and news issued by the competent references for the establishment of the association, entity or body, financial registration certificate ...) and the user agrees that he may be contacted by representatives of the platform and asked to provide additional information / documents related to the entity he represents and / or the campaign that he represents He creates it. The User also agrees to update the registration details, and to notify HEBAH of any change in the management, structure and/or legal status of the entity it represents, immediately upon the occurrence of changes and, in general, of any change in information as originally provided and authorized on the Platform .

c. Campaign organizers must have a valid bank account in the campaign name (at least) in any of the licensed banks in Lebanon and agree to provide true, accurate, current and comprehensive information regarding their bank account, such as bank account name, bank name and address, IBAN number, SWIFT, account currency...

Anyone under the age of sixteen is not allowed to use the platform and the services available through it, whether by registration or without, except with the consent of his parents or guardian.

The User may also be required to register and agree to the terms of the third party service providers (ie payment processors and or systems), with whom HEBAH has contracts. The User agrees that the Platform's services may be suspended and/or terminated with immediate effect and fines may be applied to him by the relevant authorities that are payable on him if the HEBAH Platform or one of its payment systems processors discovers at any time that the information provided by the User about him or the campaign or the purpose of the campaign is incorrect, illegal, or otherwise violates any of these Terms of Service or their Terms of Service. The User also agrees and acknowledges that the use of third party payment processors and systems is necessary for the services provided through the HEBAH Platform and that information is exchanged with such third parties in order to simplify and facilitate the provision of the Services.

Permanent Fundraisers: The HEBAH Services include regular and periodic fundraising features and services that allow an individual, entity or organization (“Perpetual Fundraiser”) to publish a permanent fundraising campaign/page (“Perpetual Fundraising”) and collect donations for an enduring individual need or to the permanent activity of an entity, and all donations collected under this feature are subject to the same service fees as set forth in the platform. Permanent fundraisers, whether individuals or entities, are solely responsible for declaring all taxes and the consequences thereof.

Donor User: It is the user's responsibility to understand how their donated funds are being used, and HEBAH is not responsible for any offers, promises, rewards or promotions offered by users or campaign organizers. The donor agrees that the use of Donations in accordance with the stated purpose is the responsibility of the user or organizers of the donation campaign and is subject to applicable laws and regulations. If the donor user has serious and legitimate reason to believe that a particular user or campaign is not collecting or using funds for the stated purpose, they can click on the “Report Fundraising” link in the campaign to alert the HEBAH team of this potential issue so that the matter can be investigated and addressed as necessary.

a. HEBAH is not responsible for whether all or any part of the donor's donations, including any payment processing fees, are tax-deductible, and HEBAH accepts no liability for any claim to the donor by any local or foreign tax authority

B. Donors must provide the platform with the information required to enable the issuance of an official receipt for the donation. The donor agrees to share some of his personal data with the NGO to which he made a donation (create a list of donors...) and that this data can be used by this NGO in accordance with its privacy policy and at the responsibility of this NGO.

Donor behavior:

Donations: In order to donate, the donor will be required to provide HEBAH with information regarding the payment method (“Payment Method”) associated with the donor account on the Platform, that he has full authority to use the relevant payment method, that all donations are final, and that no refunds will be given. HEBAH Platform has not, in its sole discretion, agreed to issue a refund under the refund policy detailed below. The Donor agrees and acknowledges that the Platform uses local and/or third party payment processing partners to bill it through the payment tool and billing account for any donations made, and that by making a donation, it consents to the processing, use, transmission or disclosure of the data by the payment processors The Platform is in accordance with the relevant terms approved and stipulated by the Payment Partners of the Platform.

Recurring Donations: Donors may have the option to make recurring donations (agreeing to make donations on a recurring basis, or “recurring donations”), and when the donor user chooses to donate on a recurring basis, he/she acknowledges and agrees that recurring donations will be renewed by him automatically and in accordance with the amount specified, and until the Grantor cancels subscription to the Auto-Renewal of Recurring Donations, whereby the HEBAH Platform will extend or auto-renew any recurring Donations agreed to by it for successive renewal periods of the same duration originally set.

With respect to all of its recurring donations, the donor acknowledges that:

 (1) Authorizing the platform according to its payment method to schedule the applicable donation installments value in advance on a recurring basis and this continues until the donor terminates such recurring payments by opting out of the recurring donations option.

(2) His pledge to pay all donation installments made before canceling the subscription.

(iii) Agree to immediately update his/her billing account with any changes and as soon as the Platform receives notice of a change or termination of Recurring Donations and/or Donations Premiums.

Campaign organisers, beneficiaries or permanent fundraisers

Account Retentions: Sometimes, when necessary, HEBAH Administrators may suspend a Campaign's account ("hold") or take similar measures to protect its interests and those of its users, for example in the following cases:

(1) The operators of the platform suspect (in their sole discretion) that the information provided by the campaign organizer is false, misleading or fraudulent, or that the funds are being used illegally or illegally or for other than the stated purpose or objectives.

(ii) if it is confirmed that the available funds (in our sole discretion) must be made directly to a person other than the Campaign Organizer (such as a legal beneficiary or a person authorized by law to act on behalf of the Campaign Organizer);

(iii) if it is determined (in our sole discretion) that a Campaign or the Campaign Organizer may have violated these Terms of Service;

4) if the campaign organizer is suspected of planning with donors to engage in fraudulent or illegal activity;

 (5) If there are reasons to believe (in our sole discretion) that there may be suspicious or fraudulent donation activity.

(6) If required to comply with a court order, judgment, or injunction, or as required by applicable laws and regulations.

Withdrawing Donations from the Campaign: While the HEBAH Platform aims to make withdrawals available quickly, the User or the Campaign Organizer acknowledges and agrees that the withdrawals may not be available for them to use immediately, and the Platform does not guarantee that withdrawals will be available to them within any period of time, The Platform expressly assumes no responsibility for any delay or inability to access and use withdrawals at any given time, and for any consequences arising from such delay or inability to withdraw, the Campaign Organizer, is responsible for ensuring that the information provided by it in order to process the withdrawal , including his bank account details, are correct and up-to-date and he is also responsible for withdrawal fees as determined by the payment processor.

Payment processors

The HEBAH platform uses payment processors to process donations which are then delivered to the campaign after providing the payment processor with information related to the bank account details.

By setting up a Campaign or accepting the beneficiary role in the Campaign, the entity or entity consents to the processing, use, transmission or disclosure of the Data by payment processors in accordance with any or all of the terms set forth and approved by applicable payment processor systems.

Ownership of donor lists and data

- With respect to the HEBAH Platform and NGOs using this Platform and in connection with the lists of donors and donor data collected by the HEBAH platform exclusively by making a donation to this NGO, and as permitted by the Privacy Policy and relevant laws, the NGO must be able to: receive a list and data of donors who have made a donation to this NGO; However, upon registration and use of the HEBAH Platform by the NGO(s), the said NGO grants HEBAH a perpetual, worldwide, non-exclusive, royalty-free license to use the Donor Data for the following purposes:

 (a) to provide services that include processing donations and managing accounts;

 (b) to implement the provisions of the agreements entered into with the HEBAH Platform;

 (c) to prevent fraud and ensure safety, security and compliance with the law;

 (d) to respond to law enforcement and law enforcement requests;

(e) to modify and improve the Services and to develop and add new ones.

(f) “Donor Data” means the donor's name, address, e-mail address, donation amount, transaction date, transaction identification number, project name and event associated with the donation.

The list of Donors who contribute to an NGO campaign or event conducted through the Services (“Donor Lists”) is provided “as is,” and HEBAH in no way makes any warranty as to the accuracy of any information on the List.

Taxes: It is the responsibility of the User of the Platform (the campaign organizers) to determine the taxes, if any, that apply to donations received through his use of the Services and it is the responsibility of the User to assess and or determine, collect, report or remit, if any, the correct taxes to an interest The appropriate taxes, or the competent references in this regard.

Member's account, password and security: The user is exclusively and absolutely responsible for maintaining the confidentiality of his account name and password and is also fully responsible for all activity that occurs under his account. He agrees:

 (a) notify HEBAH immediately of any breach of security such as unauthorized use of its password or account;

(B) At the end of each session, he must log out of his account, and the platform does not bear any responsibility for any loss or damage resulting from his failure to comply with these instructions or controls.

MODIFICATIONS TO THE SERVICES: The HEBAH Platform reserves the absolute right to modify, discontinue, or terminate the Services (or part of the Services), temporarily or permanently at any time and for any reason, with or without notice, and the Platform shall not be liable for any resulting claims, damages or costs. about this modification.

Publicly making content and information available: Part of a user’s (the donor/campaign organizer) activity on the Services is public, such as content being uploaded or posted to the Platforms or shared with other users or recipients (including but not limited to text, music, and information graphics, comments, photos, videos, trademarks, logos, or other materials). It is therefore possible that their user profile information, including their name, public email address, organization, biography and other information they enter, will be shown to other users to facilitate user interaction within the Services.

Therefore, the HEBAH Platform invites the User, to be careful, to think carefully and to scrutinize the information and or data that is private or that he may consider private and that is included in the content he creates or information that he transmits through the Services.

In any case, the user who provided such information agrees that it is neither confidential nor bound to confidentiality, explicitly or implicitly, and that the platform has the right to unconditionally and unrestricted use of this information. The User also agrees that the Platform may retain and disclose information and or User Content if this is required by law or in compliance with the procedures and provisions of laws or judicial decisions.

Prohibited behavior

The user, and in everything related to his campaign or use of the services of the HEBAH platform, is responsible for compliance with all relevant laws and regulations in force in Lebanon, in everything related to the content and data that he uploads, publishes, transmits or otherwise uses on the platform. Also, the user, if he is not the beneficiary of the campaign he is organizing, agrees to deliver the funds to the final beneficiary directly and as soon as possible and without any delay, and undertakes to cooperate fully with the custodians of the platform and according to their discretion and request, if it turns out that there are circumstances that require obtaining Guides to verify compliance with these Terms of Service.

HEBAH reserves the right to remove any campaign and/or investigate any user, in its sole discretion, who violates any of the terms or spirit of these Terms of Service.

During investigations, we may consider various materials including but not limited to social media platforms, relevant news and any other information we deem relevant and necessary for our investigation. Upon confirmation of any violation, the administrators of the HEBAH Platform have full authority to ban or disable the User (the Campaign Organizer)’s use of the Services, delete the offending User Content, suspend or terminate his account, suspend payments for any such campaign, freeze or suspend donations and report it to law enforcement authorities or the right by taking appropriate legal action, including seeking a refund on behalf of ourselves and/or our users.

The user agrees and undertakes to abide by the following:

1. Not to use the services of the platform in any way to violate the applicable laws and regulations or guidelines or agreements entered into or relating to a third party to which it is binding, including those of payment card providers and the processing of transactions related to services secured through the platform.

2. Not to finance, human trafficking, exploitation, kickbacks or rewards;

3. Not to trade pornography or other sexual content; or offensive, graphic, corrupt or sensitive content;

4. Not to bypass or attempt to bypass or otherwise circumvent the Payment Method specified as provided by the Platform, and not to collect funds on behalf of the Merchant through payment processors;

5. Not to donate the money and or not to use it for purposes other than those clearly stated in the campaign;

6. Post content (such as mug shots) that is intended to cause or raise reputational concerns;

7. not use counterfeit music, movies, software or other licensed material without the appropriate permission of the rights holder;

8. not directly infringe or facilitate the infringement of the trademark, patent, copyright, trade secret, proprietary or privacy rights of or relating to any third party;

9. Not to collect or provide funds for any purpose other than as described in the campaign description;

10. Not to conduct, through the platform, any electoral campaigns or advertisements of any kind.

11. Not to conduct fraudulent, misleading, inaccurate, dishonest or impossible campaigns.

12. Not to engage in activities to promote drugs, narcotics, stimulants, controlled substances, drugs or similar products, treatments or supplies that are either illegal or duly prohibited;

13. Not to post, post or upload any User Content on the Platform that (i) infringes the intellectual property or other proprietary rights of third parties;

14. not to use or upload files that contain viruses, files, computer code, or programs designed to disturb, destroy, or interrupt the functionality of any software, computer or other device; or that would constitute or create a privacy or security risk and/or threat to any person, or constitute unsolicited and/or unauthorized advertising.

15. not to disable servers or networks connected to the Services or to violate any requirements, procedures, policies or regulations of said networks;

16. Not to produce, collect or publish personally identifiable information of others;

17. Not to organize a campaign for a minor and collect funds for him unless you obtain the express permission of the guardian; This does not apply if the funds are transferred to a trust account for the benefit of the minor only;

18. Not to use another user's account or URL without their express consent, impersonate any person or entity, misrepresent or claim affiliation with a person or entity, misrepresent a fundraising or standing campaign, or post User Content in any category or improper areas on secured or available services;

19. Not to interfere with or disable any servers or networks used by the Platform to provide the Services or not to violate any requirements of the networks used by the Platform to provide the Services;

20. Not to obtain unauthorized access to any account, computer system or network connected to these Services, by any unauthorized or illegal means;

21. Not to attempt indirectly any of the activities and/or behavior mentioned above.

In addition, with respect to all donations made or received by the User through the Platform, he agrees to:

1. Not to make or accept any donations that are known or suspected to be fraudulent, suspicious or incorrect;

2. Not to use the Services in or for the benefit of a country, organization, entity or person that is prohibited by the Lebanese authorities.

3. to support and maintain reasonable security measures to protect any information transmitted and obtained through the Services, including but not limited to complying with any security measures and controls required by the HEBAH Platform from time to time;

4. The platform's full right to keep a copy of all electronic receipts and/or other records relating to campaigns and donations as necessary to HEBAH to verify compliance with these Terms of Service and to enable the custodians of the HEBAH Platform to view them.

5. At HEBAH's request, including without limitation in the event of investigations conducted by HEBAH Platform, Payment Processing Partner or the relevant authorities, to cooperate fully in the audit of such records and receipt and investigation of the relevant circumstances.

HEBAH reserves the absolute right to suspend, discontinue or refuse any donations or other transactions which it believes, in its sole and absolute discretion, may violate these Terms of Service or expose the User, the HEBAH Site or others to risks or harm the interests of users, business partners, the public or HEBAH User acknowledges and agrees that HEBAH may, subject to its legal obligations and compliance with applicable laws and regulations, share any information relating to its use of the Services with the appropriate financial institution, regulatory authority or law enforcement agency.

fraud policy

HEBAH is dedicated to empowering and helping people and does this by carefully reviewing each campaign on the platform. According to the estimates of the platform's administrators, most of the campaigns on the platform's website are safe and legitimate. And if it turns out that a person, body or entity is creating a misleading campaign with the intention of benefiting from the generosity of others, the campaign organizers bear full responsibility for any defect or error that occurs in this area, and HEBAH will take immediate and quick measures to address this.

The policy and rules of use of the HEBAH platform are simple and strictly enforced, and it is not permissible to intentionally lie or deceive donors on this platform for financial or personal gain.

HEBAH custodians rely on the HEBAH community and audience to inform if a user or campaign organizer is suspected of being involved in any fraud through their activity or use of the Platform, and any potential fraudulent activity can be reported, by clicking on the "Report" link in the campaign To alert our team of this potential issue and we will investigate the matter. All decisions are made by HEBAH in its sole discretion, and all of its decisions are final.

intellectual property rights

Content of the Services, Software and Trademarks: The User agrees and acknowledges that the HEBAH Services may contain content, data, features or materials that are protected by laws protecting intellectual property, copyrights, patents, trademarks or any other rights protected by intellectual property laws and other laws. The User also agrees not to modify, copy, rent, sell, distribute or create derivative works from the Services, their content, materials and/or features in whole or in part except as expressly permitted by HEBAH.

The user also agrees not to implement any measures to circumvent the ban, if it is blocked by HEBAH. You also agree that all technologies, systems, and underlying software for the Services available through and or through the HEBAH Platform are the property of HEBAH and its partners or contractors.

The HEBAH name and logos are HEBAH trademarks and service marks. USER CONTENT TRANSMITTED THROUGH THE SERVICES: The User agrees that he owns all right, title and full use of the User Content including all copyright, trademark, rights of publicity or privacy relating thereto. Once User Content or any part of it is provided or uploaded to the Platform, HEBAH and its partners are granted unconditionally and non-exclusively to use their Content.

If the User Content contains his name, image, private data, sensitive data or the like, the User releases HEBAH, its employees and its contractors from all liability and all claims related to breach of privacy, publicity, defamation or otherwise.

Furthermore, the User acknowledges that his participation in the Services and the provision of User Content is voluntary and that he will not receive any compensation or any kind of financial or other compensation in return.

In all cases, HEBAH reserves the right and absolute discretion to delete, modify or ban any content of the Services or User Content, at any time, without notice to him and for any reason or no reason.

Third Party Services / Platforms

The user acknowledges and agrees that HEBAH shall not be liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, events, goods or services available through third parties, that Transactions with third parties are subject to the terms of use established by the third party, which the user agrees to when using these resources.

Compensation and release

Disputes

User Disputes

User agrees that they are solely responsible for their interactions with any other User in connection with the Services and HEBAH has no obligation or liability arising from such interactions.

These Terms of Service are subject to the laws and regulations in force in the Republic of Lebanon. With respect to any disputes or claims that are not subject to arbitration in accordance with the applicable laws, as described above, the user and HEBAH agree to submit to the personal and exclusive jurisdiction of the competent courts in Lebanon. HEBAH's failure to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. If any provision of these Terms of Service is found by a court of competent jurisdiction to be invalid (or incorrect), the other provisions of these Terms of Service shall remain in full force and effect and the parties agree that the court shall endeavor to give effect to the parties' intentions as set forth in these Terms of Service

User agrees that notwithstanding any statute or law to the contrary, any claim or suit arising out of or relating to use of the Services or these Terms of Service must be brought within one year only and User may not assign these Terms of Service without the prior written consent of HEBAH .

By entering and agreeing to this Agreement, the User expressly acknowledges that he has read and understood all of the terms of this Agreement, and Heba Company reserves the absolute right, to change or amend any part or parts of these Terms of Service at any time. When Heba does so, it will post the revised Terms of Service on this page, and User's continued use of the Services after the date of any such changes shall constitute their express acceptance of the new Terms of Service.

The HEBAH Services are provided as a platform to allow an individual, entity or organization (“Campaign Organizer”) to post a fundraising campaign (“Campaign”) to the HEBAH Platform to accept funds (“Donations”) from donors or donors for charitable or other decent purposes.

 HEBAH is not and is not a payment system and does not hold any funds, but rather HEBAH uses internal and/or external payment processing partners to process donations for a particular campaign or campaigns (“Payment Processor or System”). The user acknowledges and agrees that the use of payment systems or processors is an integral part of the services and that the exchange of information with payment processors is intended to facilitate the provision of services.

Fees for services secured through the HEBAH platform: Although there is no fee for setting up a campaign, it is agreed that Heba deducts a fee for the approval of its platform referred to as “the platform fee as a percentage of the donations. The payment processor also deducts a fee for providing a service Payment Processing is referred to as the “Payment Processor Fee” as detailed below.

Payment Processor Fees: Payment processor fees for the HEBAH platform are applicable and specified as follows:

For donations coming from international cards 0.4$ + 3.5% of each transaction.

For donations coming from lebanese local cards 0.4$ + 2% of each transaction.

The payment processor automatically deducts the payment processing fee from each donation processed by the latter through the platform.

Platform Fee: The platform fee is set at 0% of each donation received and is automatically deducted from each donation.

Services are platforms; HEBAH is not an intermediary, agent, financial institution, creditor, NGO, or non-profit organization, the services it provides to users are only administrative platforms so that HEBAH facilitates or organizes the organization and launch of the campaign and allows donors to make donations to these campaign organizers. Decisions regarding any campaigns, donations, donors, or any information or content relating to the Services, the User should consult their own financial, legal, tax or other professional advisor as appropriate.

The user acknowledges that all information and content that he can access using the services of the platform is at his full responsibility, as Heba does not control the behavior of the user or any information he provides, and therefore it absolutely absolves itself and hereby disclaims all responsibilities in this regard and to the maximum extent permitted applicable law. Heba also does not guarantee that the campaign will receive a specific amount of donations or any donations at all.

The user, as a donor, must make the final decision on the value and appropriateness of contributing to any service, purpose, campaign or event.

No Solicitation: The HEBAH platform is offered to help campaign organizers raise funds, only HEBAH provides technology to allow fundraisers to connect with donors. The existence of the Services is not a solicitation of donations from HEBAH, and HEBAH does not engage in any solicitation or advisory activities regarding soliciting contributions from the public, on behalf of any individual, entity or organization. By using the Services, the Donating User understands and agrees that HEBAH shall not be liable for the use of his Donation or the amount of funds raised for the User, campaign or event.

Campaign(s): A campaign is a purposeful short-term fundraising campaign, launched by the campaign organizer with the aim of achieving a financial goal for a specific cause and within a certain period of time.

When submitting a campaign request through the Platform; The HEBAH Team will review the Campaign Request(s) within a reasonable time to verify that the Campaign meets the requirements under these Terms.

If the campaign is approved by the platform, the campaign will be published on the platform; The campaign organizer will be able to receive donations through this campaign and share the campaign on social media platforms for better reach and success.

Campaign Organizer: The User, in his capacity as the Campaign Organizer, represents, warrants and undertakes that:

(i) all information it provides in connection with the Campaign or the Beneficiary is accurate and complete and is not likely to deceive reasonable users;

(2) that the fundraising is for a reason or activity that is lawful and legitimate under applicable laws and regulations and is consistent with applicable public order and social ethics;

(iii) All donations contributed to the Campaign will be used only as described in the materials posted or otherwise made available; Under no circumstances may the funds be used for any other purpose; and that its entity performs all of its financial obligations under applicable law,

(iv) if you withdraw Donations which the Donors reasonably believe would be collected on behalf of someone other than him (i.e. the Beneficiary), all Donations will be made to and/or spent on the Beneficiary’s behalf;

 (v) if a beneficiary is added through the Services, the user the campaign organizer relinquishes control over the donations;

(6) not infringe on the rights of others;

(vii) comply with all relevant and applicable laws and financial reporting obligations, including but not limited to laws and regulations relating to the recording, tax reporting and disclosure of assets for his enterprise;

(8) have the authority (including any necessary consents), as required by applicable law, to allow the use and sharing of any personal data of any third party for any purpose, including their names, email addresses and phone numbers of their personal contacts;

 Authorizing HEBAH, and reserving its absolute right to provide information related to its campaign to campaign donors and beneficiaries or law enforcement, as well as assisting in any investigation of it.

Campaign Registration Obligations: User may be required to register with HEBAH in order to access and use certain features of the Services. If the User chooses to register for the Services, he is deemed to agree to provide and maintain true, accurate, current and complete information and/or documents about him or his entity as required in the Services registration form.

. • Campaign organizers who are raising funds for their own cause or for the cause of a beneficiary, must register using their real identities and attach a copy of their ID as required in the Services Registration Form, and must provide and complete as described above all required information including name, address and address Email, phone number, beneficiary's name, occupation (if applicable), bank account information, as well as any photo or video purporting to depict the campaign organizer or beneficiary of this campaign.

. • In addition to the obligation to provide and complete information as described above, Campaign Organizers using the Services must register using the registered/recognized name of the entity, attach a copy of the entity's registration certificate (commercial broadcast of a company; notice of recognition of an NGO). The Campaign Organizers also certify that this entity is duly registered and/or recognized under the relevant laws and regulations of Lebanon and agrees to provide Hiba with the entity's name, address, email address, phone number, and bank account information as well as its name and phone number as the entity's representatives.

The User agrees that he may be contacted by representatives of the Platform and asked to provide additional information / documents related to the entity he represents. The User also agrees to keep the registration details up to date, reflecting the fact of any change in the management, structure and/or legal status of the entity it represents, once such update has occurred and, in general, for any change in information as provided in The beginning or any event that may in any way affect the performance of the Services and/or the reputation of the Platform.

. • Campaign organizers must have a valid bank account (at least) in any of the approved banks in Lebanon and agree to provide and maintain true, accurate, current and complete information in relation to their bank accounts as required in the services registration form, such as the name of the bank account and the name of the bank Bank address, IBAN, SWIFT and account currency. And the bank account must be in the name of the campaign organizer, whether the latter is a physical person or an entity (legal person).

Registration data and some other details of the campaign and its organizer are subject to these Terms of Service and our Privacy Policy. If the user is under 16 years of age, he is not authorized to use the Services, with or without registration. In addition, if the User is under the legal age of majority in their country (usually 18 or 21), they may use the Services, with or without registration, only with the consent of their parents or guardian.

Certain aspects of our Services may also require the User to register with and agree to their terms with third party service providers (for example, payment processors), with whom HEBAH has contracts, in order for you to benefit from their services.

If at any time HEBAH or one of its payment processors discovers that information provided by a User about him or the purpose of his campaign is incorrect or in violation of any of these Terms of Service or their Terms of Service, the Services may be suspended and/or terminated with immediate effect or penalties. by the competent authorities which will be payable by him in all such cases. The User acknowledges and agrees that the use of internal or external payment processors is an integral part of the Services and that Heba's exchange of information with such third parties is intended to facilitate the provision of the Services as set forth in Heba's Privacy Policy

Donors: All donations are made at the donor's own responsibility. And when he donates through the platform, it is his responsibility to understand how his money is being used. Heba is not responsible for any offers, promises, rewards or promotions offered by users or campaigns. Heba does not and cannot verify the accuracy and/or correctness of information provided by Users or Campaigns, nor does it confirm or guarantee that Donations will be used in accordance with any fundraising purpose specified by the User or Campaign or in accordance with applicable laws.

Notwithstanding the foregoing, HEBAH takes any potential fraudulent activity and misuse of collected funds very seriously. Therefore, if the campaign organizer has reason to believe that a user or campaign is not collecting or using funds for the stated purpose.

. • HEBAH makes no representations as to whether all or any part of your Donation, including any payment processor fees, are tax-deductible or eligible for tax credits.

• HEBAH does not bear any responsibility towards new banking circulars or laws imposed on its account, the account of campaign holders or on the bank itself for any reason whatsoever, which may cause delays in withdrawals or transfers or other consequences beyond the control of the platform.

• HEBAH assumes no responsibility for any claim by any local or foreign tax authority or other tax authority in connection with the characterization of any applicable tax return for any donation by a donor, user or charitable organization. The donor must consult his tax advisor regarding the amount of his donation that is tax deductible or eligible for tax recognition, taking into account (among other things) the tax status of the recipient of any donation in any relevant country, particularly in Lebanon.

 Donor Behavior: Donations: In order to contribute to a donation or to a fundraising campaign, the Donor will be required to provide HEBAH with information regarding their credit card or other payment method (“Payment Method”) associated with the Donor Account on the Services (“Billing Account”). The User, as a donor, represents and warrants to HEBAH that this information is correct and that it is authorized to use the applicable payment method. He agrees that a certain minimum donation amount may apply, and that all donations are final and will not be refunded.

HEBAH uses local or third-party payment processing partners to invoice the donor through the payment tool and billing account for any donations made, and donors acknowledge that by contributing by making a donation to a campaign, the donor consents to the processing, use, transmission, or disclosure of the data by the processors Pay with Heba in accordance with any and all applicable terms set forth and approved by Heba's payment partners.

MODIFICATIONS TO THE SERVICES HEBAH reserves the absolute right to modify, suspend or discontinue, temporarily or permanently, the Services (or any part thereof) at any time and for any reason, with or without notice, without any liability to the user and is not responsible for any claims, damages, costs or losses arising therefrom.

If the user is not the beneficiary of the campaign being organized, he agrees to provide the funds to the end beneficiary directly and as quickly as possible. User agrees to fully cooperate with any request by us regarding evidence which we consider necessary to verify compliance with these Terms of Service.

Heba reserves the right to remove any campaign and/or investigate any user who, in its sole discretion, has breached any of the provisions or spirit of these Terms of Service, and may consider all available materials including those circulated via social media, related news, and any other information that it, in its sole discretion, considers relevant to its audit. Heba also reserves the absolute right to prevent or disable the User's use of the Services, remove the offending User Content, suspend or terminate his account and stop any such campaign, and freeze or suspend donations temporarily or permanently, and Heba reserves the absolute right to exercise all necessary powers to enforce or take legal action occasion including seeking to respond and defend itself on behalf of and/or its users.

In addition to the foregoing, the User agrees and undertakes not to use the Services or create or contribute to any campaign that expressly or impliedly:

 • Violate or violate applicable laws, regulations, related agreements, or guidelines of third parties including payment card providers, service processing systems, and others.

   • Support or contribute to campaigns that are fraudulent, misleading, inaccurate, or dishonest

. • Promote or contribute in any way to the promotion of drugs, narcotics, stimulants, controlled substances, drugs or similar products or treatments that are illegal, prohibited or prohibited by regulatory authorities, or other medical products and practices or any related equipment or tools.

 • It encourages crimes related to hate, violence, harassment, bullying, discrimination, terrorism, or intolerance of any kind regarding race, national origin, religious affiliation, serious disabilities or disease, financial crimes or crimes of deception.

. •Human trafficking, exploitation, regulation, bribery, reward, pornographic, sexual, graphic, harmful or sensitive content.

 • Attempting to bypass or circumvent a particular method of payment as provided.

. • Products or services that directly infringe or facilitate the infringement of trademarks, patents, copyrights, trade secrets, proprietary rights or privacy of any third party.

. • Not to use services or software to transmit or upload any User Content that infringes intellectual property laws or other proprietary rights of any party that does not have the right to do so in accordance with applicable laws or contractual agreements, or contains software viruses or any computer code, files or programs intended to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.

 User decides and agrees that the Services may contain content or features ("Content Services") that are protected by copyright, patents, trademarks, trade secrets or other intellectual property rights and laws. Engaging in, using or extracting data, spiders, and robots, and deleting, collecting or extracting data are fraudulent. The User agrees not to take any steps in this area and any use of the Services or Content Services other than as specifically specified on the Platform is strictly prohibited.

The technology and software on which the Services are based or distributed are the property of HEBAH, its partners or contracting companies (the "Software"). The user agrees not to copy, modify, create derivative works or similar, reflect the compilation or attempt to disclose the source code, sell, attribution, without license or transfer any right in the Software.

Heba shall under no circumstances be liable in any way for any content or materials of any third party (including users) including, but not limited to, any errors or omissions in any User Content, or for any Loss or damage of any kind incurred by the User as a result of his use of any User Content.

User represents and warrants that it owns all right and title, or has all necessary rights and consents (and to allow others) to make full use of User Content including, without limitation, in terms of copyright, trademark rights, rights of publicity or privacy relating thereto.

Heba reserves the right to remove, modify or block any Services or User Content, in its sole discretion, at any time, without notice to the User and for any reason (including, but not limited to, upon receipt of claims or allegations from third parties third party authorities or authorities relating to the content of the Services or User Content, or if they have a concern that the User may have violated these Terms of Service, or for no reason at all).

HEBAH adopts a policy of discontinuing and terminating, in appropriate circumstances and in its sole discretion, for users deemed repeat infringers. User agrees that HEBAH has the right to organize and provide its own defense of any claims in its sole discretion and that HEBAH will reimburse HEBAH for its defense costs (including, without limitation, fees, legal expenses, holiday and damage) and User waives any law, provision or provision My contract is not compatible with this field.

The User agrees that notwithstanding any statute or law to the contrary, any claim or cause of action arising out of or relating to the use of the Services or these Terms of Service must be brought within one year from the date on which the claim or cause of action arose, under penalty of exclusion. A printed copy of this Agreement and any notice given in electronic form will be admissible in judicial or administrative proceedings under or in connection with this Agreement and have the same evidential force as other commercial documents and records originally created and maintained in printed form.

 Notices may be sent to the User via his authorized e-mail address or postal mail. The Services may also provide notice of changes to these Terms of Service or other matters by displaying notices or links to notices publicly on the Platforms.

HEBAH may, at any time, assign its rights under this Agreement or assign its obligations under this Agreement to whomever it wishes, without notice to the User in connection with a merger, acquisition, reorganization or sale of equity or assets, at law or otherwise.

Nothing in these Terms shall prevent or prevent HEBAH from complying with the law.
